1. What GoldenPixel is

GoldenPixel is a single, curated wall composed of a fixed grid of squares. Each square is a permanent position that displays an artist's image and links to a destination the artist chooses.

The price of a square is determined solely by its location on the Wall — squares nearer the center cost more than squares toward the edges. Size is uniform. Once a square is approved and published, its position is permanent.

2. Applying and eligibility

Placement is by application. Every application is reviewed before anything is published, and acceptance is at our sole discretion. We may decline any application for any lawful reason.

Submitting an application and making a payment does not guarantee placement on the Wall. You must be at least 18 years old, or the age of majority in your jurisdiction, to apply.

3. Payment and refunds

Payment is taken at the application stage, before review. Prices are shown in US dollars and are calculated by us based on the square's location; the amount charged is always computed on our servers.

Payments are processed by our third-party payment providers (Square and PayPal). We do not collect or store your full card details. By paying, you also agree to the applicable payment provider's terms.

If your submission is not approved, your payment is refunded in full to the original payment method. Once your work is approved and you publish it, the purchase is final and non-refundable, except where required by law or where we remove your square for reasons not attributable to you.

4. Your content and the rights you grant

You retain ownership of the artwork you submit. By submitting and publishing, you grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and promote your artwork in connection with operating and marketing the Wall, for as long as your square is published.

You represent and warrant that you own or have all necessary rights to everything you upload and to any destination you link to, and that your content and linked destination do not infringe the rights of, or harm, any third party.

5. Content rules

You may not submit, publish, or link to content that:

• is unlawful, or promotes or facilitates illegal activity;
• is sexually explicit, or sexualizes minors in any way;
• is hateful, harassing, threatening, or incites violence;
• infringes any copyright, trademark, privacy, publicity, or other right;
• impersonates any person or brand, or is deceptive or fraudulent;
• contains malware, or links to harmful, deceptive, or unlawful destinations.

6. Review, moderation, and removal

Submissions are screened by automated tools and reviewed by a human before publication. Content that appears to depict child sexual abuse material is blocked automatically and reported to the appropriate authorities as required by law.

We may remove or disable any square or link that violates these Terms or that we reasonably believe is harmful, at any time. Removal of a published square for a violation does not, by itself, entitle you to a refund. We may suspend or terminate access for users who repeatedly or seriously violate these Terms.

7. Copyright and DMCA

We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Wall infringes your copyright, send a notice to hello@goldenpixel.co with the subject line "DMCA" that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to infringe and its location; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.

On receipt of a valid notice we will remove or disable the material and notify the user who posted it. That user may submit a counter-notice. We terminate, in appropriate circumstances, the accounts of repeat infringers.

8. Permanence and changes to the Wall

Published squares are intended to be permanent. However, we may relocate, alter, or remove squares where reasonably necessary for legal, security, or technical reasons, or to comply with a valid legal request.

9. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the fullest extent permitted by law, INVERT LLC and its officers, members, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless INVERT LLC from any claims, damages, and expenses (including reasonable legal fees) arising out of your content, your linked destination, your use of the service, or your breach of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at hello@goldenpixel.co to attempt to resolve the dispute informally. The courts located in Delaware will have exclusive jurisdiction over any dispute not resolved informally.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to square owners. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
